Your lease is ending and the landlord wants the unit back as it was. Here is what reinstatement covers for a shop or restaurant, and how to protect your deposit.

At the end of a shop or restaurant lease, the reinstatement clause usually requires you to remove your fit-out, signage and alterations and hand the unit back in its original or specified condition, at your cost; if you do not, the landlord deducts the work from your deposit. A retail strip-out is mostly partitions, ceilings, flooring, shopfront and signage. A restaurant adds the kitchen: exhaust hood and ducting, grease trap, gas supply, drainage and wet-area finishes, each needing the right trade. Start from the lease and the condition record, get the landlord's reinstatement scope in writing, and allow time inside the notice period.

The idea is old. Wikipedia's dilapidation entry traces it in English law as the disrepair a tenant is usually liable for when the tenant has agreed to give up the premises in good repair. In practice in Malaysia, what matters is the wording of your lease and any condition record made at the start.

Some landlords want everything out to bare shell; others want the kitchen services left for the next F&B tenant. Never assume: get the landlord's list in writing before pricing the job.

A restaurant kitchen is not demolition work alone. The hood and ducting are heavy, greasy and often run through ceilings or out through walls and roofs, and every opening they leave has to be sealed weathertight. Gas lines must be disconnected, capped and made safe by a competent gas contractor before anything nearby is cut or hacked. Kitchen power points on dedicated circuits go back to the distribution board and are made safe. Floor traps, sink wastes and the grease line are capped so smells and pests cannot come back up.

Whether the lease says to remove it or leave it, it should be pumped out and cleaned first, and the landlord will expect the drain line downstream to be clear.

Removal is only half of reinstatement. Where partitions come out, the floor and walls need patching; where flooring comes up, the landlord's floor is cleaned or screeded; where a ceiling comes down, the landlord's grid or slab is left clean and complete. Openings for ducts, signage and cables are sealed and finished to match. Painting to the landlord's colour is normally the last step. Leave the unit swept, the drains flowing and the keys, access cards and any remote controls ready to hand over at the joint inspection.
Mall units come with the most rules: works only at night or outside trading hours, hoarding across the shopfront, loading bay bookings, fire system isolation permits and a mall inspection before the deposit is released. Street shoplots are simpler, but the landlord is often a private owner who inspects in person, so agreeing the scope in writing matters even more.
Keep dated records of the finished unit at the joint inspection. It protects your deposit if the landlord later disputes the condition.
